These Terms of Service (“Terms”) govern your access to and use of shciconsult.org (the “Site”) and the products, memberships, digital content, community, and services offered by Superior Healthcare Clinical Informatics Consulting, LLC (“SHCI,” “we,” “us,” or “our”), including The Institute for Healthcare IT Consulting and Leadership Development (collectively, the “Services”). Please read them carefully.
By accessing or using the Services, creating an account, or purchasing a membership or product, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.
1. Eligibility
The Services are intended for professionals and individuals who are at least 18 years old and able to form a binding contract. By using the Services, you represent and warrant that you meet these requirements and that the information you provide is accurate and complete.
2. Accounts and Registration
Certain features require an account. You agree to provide accurate information, keep it current, and maintain the confidentiality of your login credentials. You are responsible for all activity that occurs under your account. Notify us promptly at info@superiorhealthcareinformatics.com of any unauthorized use. We may suspend or terminate accounts that violate these Terms.
3. Memberships, Billing, and Renewals
3.1 Membership Tiers
We offer tiered annual memberships (Levels 1 through 5), with monthly payment options where available. Benefits, content access, and pricing for each tier are described on the Site and may be updated from time to time. Access to member content is cumulative by tier as described on the Site.
3.2 Fees and Payment
You agree to pay all applicable fees for the memberships, digital products, and services you purchase, plus any applicable taxes. Payments are processed by our third-party payment processor (Square). By providing payment information, you represent that you are authorized to use the payment method.
3.3 Automatic Renewal and Cancellation
Memberships automatically renew at the end of each billing period (monthly or annual, as selected) at the then-current rate, unless you cancel before the renewal date. You may cancel at any time through your account settings or by contacting us; cancellation stops future charges but does not retroactively refund the current period. We will provide notice of renewals and material price changes as required by applicable law.
3.4 Price Changes
We may change membership fees and product prices. Changes will not affect the period you have already paid for; they take effect at your next renewal, with notice as required by law.
4. Refunds
Except where required by applicable law, membership fees and digital products (including eBooks and other downloadable or digital content) are non-refundable once access has been granted.
Advisory Services may be rescheduled or cancelled in accordance with the cancellation window stated at the time of booking. This refund policy is a business decision you should confirm and may adjust; where consumer-protection laws grant cancellation or refund rights, those rights apply.
5. Digital Content and License to You
Subject to your compliance with these Terms and payment of applicable fees, SHCI grants you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the digital content and member benefits for your own individual, non-commercial professional development.
You may not copy, reproduce, republish, distribute, resell, sublicense, share access to, publicly display, or create derivative works from any SHCI content, except as expressly permitted. Circumventing or disabling any access controls on member content is prohibited. Sharing account credentials is not permitted.
6. Advisory Services
Advisory Services (including Strategy Sessions and Executive Coaching Sessions) provide general professional guidance based on our experience and are available exclusively to active members. They are informational and educational in nature and do not constitute legal, financial, medical, or other professional advice, and no attorney-client, fiduciary, or similar relationship is created. You are responsible for your own decisions and outcomes.
7. Community Conduct and Acceptable Use
Our member community is a professional space. When using the Services, you agree not to:
Post content that is unlawful, harassing, defamatory, discriminatory, obscene, or infringing;
Share confidential, proprietary, or protected health information (PHI) belonging to any patient, employer, or client;
Impersonate any person or misrepresent your affiliation;
Solicit, spam, or advertise without our permission;
Upload malicious code or attempt to disrupt, probe, or gain unauthorized access to the Services;
Scrape, harvest, or use automated means to access the Services without our consent; or
Violate any applicable law or the rights of others.
We may remove content and suspend or terminate accounts that violate these standards, at our discretion.
8. Your Content
You retain ownership of the content you submit to the community or the Services (“User Content”). You grant SHCI a worldwide, non-exclusive, royalty-free license to host, store, display, and use your User Content as necessary to operate and provide the Services. You represent that you have the rights to submit your User Content and that it does not violate these Terms or any law.
9. Intellectual Property
The Services and all associated content — including the book, eBooks, micro-courses, text, graphics, logos, and the SHCI and Institute names and marks — are owned by SHCI or its licensors and are protected by copyright, trademark, and other laws. Except for the limited license granted to you, no rights are transferred. You may not use our names, logos, or marks without our prior written permission.
10. Trademarks and No Affiliation
“Epic” and related product names are trademarks of Epic Systems Corporation. SHCI is an independent educational and consulting organization and is not affiliated with, endorsed by, sponsored by, or certified by Epic Systems Corporation. References to Epic and its modules are for descriptive and educational purposes only. All other trademarks are the property of their respective owners.
11. Educational Purpose; No Guarantee of Results
The Services are educational and informational. We do not guarantee any specific outcome — including employment, contracts, certification, credentialing, income, or career advancement. Your results depend on many factors outside our control, including your own effort, market conditions, and third-party decisions. Nothing in the Services constitutes a promise or guarantee of results.
12. Third-Party Services and Links
The Services rely on and may link to third-party platforms and websites (including Squarespace, Square (payments), Amazon, and LinkedIn). We do not control and are not responsible for third-party services, their content, or their terms. Your use of them is governed by their own terms and policies.
13. Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that content is accurate or complete. Some jurisdictions do not allow certain warranty exclusions, so some may not apply to you.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHCI AND ITS OWNERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES. Our total liability for any claim relating to the Services will not exceed the amount you paid to SHCI in the twelve (12) months preceding the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so some may not apply to you.
15. Indemnification
You agree to indemnify and hold harmless SHCI and its owners, employees, and agents from any claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your User Content, or your violation of these Terms or any law or third-party right.
16. Suspension and Termination
We may suspend or terminate your access to the Services at any time, with or without notice, for any violation of these Terms or for conduct we reasonably believe is harmful to SHCI, its members, or others. Upon termination, your license to access the content ends. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Louisiana, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Louisiana, and you consent to their jurisdiction and venue. Before filing a claim, you agree to first contact us to attempt to resolve the matter informally.
18. Changes to These Terms
We may modify these Terms from time to time. The “Last Updated” date reflects the most recent changes. Material changes will be posted on this page and, where appropriate, communicated to you. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
19. Miscellaneous
These Terms, together with the Privacy Policy, constitute the entire agreement between you and SHCI regarding the Services. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control.
